Preparation

  • Working with our Client, we create a confidential (ie. no name) and condensed opportunity description.
  • In order to maximize the value of our Client, each package is individually tailored to meet the specific investment criteria for each potential buyer.

Marketing

  • We present the opportunity to a handful of our pre-qualified potential buyers.
  • We use our understanding of our Client's pressure points and a potential buyer's value prism to negotiate a transaction at maximum value. 

Deal Team

  • Once we are confident there is potential for a sale transaction, it is important we meet our Client’s advisors.
  • Our goal is to work with a Client’s existing advisors (legal, accounting, tax), but we can provide advisor recommendations if desired.

Information Flow

  • Working with our Client's legal counsel, we obtain NDAs required to disclose select additional information to potential buyers.
  • We manage additional information requests and become the “point of the spear” for all deal-related information flow.

Preliminary Indication of Value

  • Early on in the process and prior to disclosing too much information, we obtain a preliminary range of valuations from potential buyers to ensure it aligns with our Client’s expectations.

Letter of Intent

  • We negotiate a non-binding letter of intent at maximum value, including:

 Valuation

 Structure

 Escrows

 Working capital requirements

 Indemnities

 Non-competes

Consulting or employment agreements

Due Diligence

  • Working closely with our Client’s deal team we quarterback the due diligence process:

 Company diligence 

 Financial diligence (Q of E)

 Legal diligence 

Defense

  • We manage all due diligence findings.  In particular, we are adept at ensuring a potential buyer does not try to re-price the deal based on diligence findings.

Documentation

  • Though primarily the responsibility of our Client’s lawyers, we ensure the economic and commercial terms of the deal are accurately described within the deal documents.

Closing and Flow of Funds

  • In this phase we are aggressively pushing the transaction towards a closing date.  

Post-Closing Management

  • We remain active with our Clients until all post-closing matters are resolved (this could take up to 24 months).
